CLEAN HAIR CLUB SUBSCRIPTION PROGRAM TERMS & CONDITIONS

The following Clean Hair Club Subscription Program Terms & Conditions (“Subscription Terms”) apply to your participation in Briogeo’s auto-renewal subscription program. These Subscription Terms are between you and Wella (“Seller”, “we”, or “us”), are governed by the Terms of Sale (https://www.briogeohair.com/pages/briogeo-promotion-terms) that apply to purchases of Products and Terms & Conditions (https://www.briogeohair.com/pages/terms) that govern use and access to www.briogeohair.com (“Site”). To the extent any capitalized terms are not defined in these Subscription Terms, they have the meanings defined in the Terms of Sale or Terms & Conditions. In the event of any conflict between these Subscription Terms and the Terms of Sale or Terms & Conditions, the Terms of Sale shall control as to matters pertaining to the product, and the Terms & Conditions shall govern all other matters.

Please note that we may amend these Subscription Terms from time to time as outlined in Section 8 below.

1. Subscription Authorization.

By enrolling in our auto-renewal subscription program (the "Subscription Program"), you authorize us to automatically charge your designated payment method on a recurring basis according to your selected subscription cadence (e.g., monthly, bi-monthly, quarterly) until you cancel your subscription. Your subscription will continue indefinitely until canceled in accordance with the terms set forth below.

You expressly acknowledge and agree that:

· Your subscription will continue indefinitely and renew automatically at regular intervals according to your selected cadence until cancelled or terminated in accordance with these Subscription Terms. You agree that your account will be subject to this automatic renewal feature unless you cancel, or we terminate, your subscription.

· You will be charged automatically for each renewal until you cancel. You acknowledge and agree that we will not obtain any additional authorization from you for such automatic, recurring charges.

· You are responsible for canceling your subscription if you no longer wish to receive automatic shipments.

2. Subscription Pricing.

2.1. Initial Order: Your first subscription delivery may be offered at a discounted promotional price. The specific pricing applicable to your initial order will be clearly displayed at the time of enrollment and confirmed in your order confirmation email.

2.2. Renewal Pricing: Following your initial order, all subsequent automatic renewals will be charged at the then-current standard subscription price, plus any applicable taxes and shipping fees. We reserve the right to change subscription pricing upon thirty (30) days' advance notice to you. Price changes will apply to renewals processed after the notice period. You acknowledge that the amount billed may vary due to promotional offers, changes to the Subscription Program or changes in applicable taxes or other charges, including shipping fees, and you authorize us (or our third-party payment processor) to charge your payment method for the corresponding amount.

2.3. Payment Authorization: By enrolling in the Subscription Program, you authorize us (or our third-party payment processor) to charge your payment method for the initial order and all subsequent renewal orders on a recurring basis according to your selected subscription cadence until you cancel your subscription. You agree to maintain valid and current payment information in your account. Your payment details are stored securely, and you will be charged on the date each order is [processed / shipped]1 for each shipment.

Upon renewal of your subscription, if we do not receive payment from your payment method you agree that we may either terminate or suspend your subscription and continue to attempt to charge your payment method until payment is received (upon receipt of payment, your account will be activated and for purposes of automatic renewal, your new subscription period will begin as of the day payment was received).

If your payment details change, your card provider may provide us with the updated payment details. We reserve the right to use these updated details for future charges in order to help prevent any interruption to shipments.

3. Delivery Schedule and Shipment Timing.

3.1. Subscription Cadence: You may select your preferred delivery frequency at the time of enrollment (e.g., every 1 month, 2 months). Your products will be shipped according to your selected cadence. For a quarterly cadence selection, this means shipments will occur every three months, though not necessarily totaling four deliveries per calendar year, because your subscription may not follow a calendar-quarter schedule, and, therefore, the term “quarterly” as used herein does not refer to calendar quarters.

3.2. Shipment Timing: While we will process and ship your subscription orders according to your selected cadence, no specific ship date is guaranteed. Actual shipment dates may vary based on product availability, processing times, and other factors beyond our control.

4. Subscription Account Management.

When you purchase a product as part of the Clean Hair Club Subscription Program, your Account is automatically created with the email used at checkout. If you already have an existing Account with us, your purchase will be associated with the existing Account associated with the email used at checkout. If a new Account is created, you will receive an email welcoming you to the Clean Hair Club Subscription Program and identifying any promotions or discounts available to you. You can update subscription details by accessing your Clean Hair Club Account from your email and clicking 'Manage Subscriptions' and selecting the subscription to edit.2 Any personal information you provide will be processed according to our privacy policy https://www.briogeohair.com/pages/privacy-policy


5. Subscription Cancellation and Modification.

You can cancel or change your subscription at any time. You may modify your subscription settings at any time by logging into your account and accessing "Manage Subscriptions." Available modifications may include:

· Changing your subscription cadence (delivery frequency)

· Rescheduling your shipment

· Skipping your next shipment

· Updating your payment method

· Modifying your shipping address

· Changing product selections (subject to availability)

It is your responsibility to update subscription details, such as your shipping address, or to cancel the subscription at least seven (7) days before the renewal date. We send reminder notifications via email about upcoming auto-renewal shipments. If you are experiencing issues logging into your account, contact support@briogeohair.com.

To avoid being charged for and receiving the next shipment, you must cancel at least seven (7) days prior to the scheduled shipment date.

How to Cancel: To cancel your subscription:

1. Access your account from your email

2. Navigate to "Manage Subscriptions"

3. Select the subscription you wish to cancel

4. Follow the prompts to complete the cancellation process

You will receive a confirmation email once your cancellation has been processed. If you cancel within seven (7) days of shipment or after your order has already been processed, you will receive and be charged for that shipment, but no further renewals will occur.

If you cancel your subscription and then re-subscribe, any rewards or discounts applied to any order may not be the same discount in effect at the time of cancellation. You can re-subscribe at any time following your cancellation, but we reserve the right not to permit re-subscription where we have previously elected to terminate a subscription by you.

6. Subscription Reminder Notifications.

We will send you reminder notifications via email at least seven (7) days before your subscription renews, informing you of the upcoming charge, the amount, the products, estimated shipment timing, and instructions for canceling or modifying your subscription. By enrolling in the Subscription Program, you consent to receive:

· Delivery reminder notifications seven (7) days before each renewal

· Order confirmation, shipment, and delivery emails for each processed order

· Payment receipts

· Subscription-related updates and notices

· Notifications regarding changes to subscription terms, pricing, or policies

These communications will be sent to the email address then-associated with your Account. You are responsible for ensuring your email address is current and accurate.

7. Subscription Product Returns.

Once an order has been charged and processed for shipment, it cannot be canceled and no refund will be provided for that order, except as required by law or as otherwise provided in Section 9 (Returns and Exchanges) of the Terms of Sale.

8. Changes to Clean Hair Subscription Program.

We reserve the right to modify the terms governing the Subscription Program at any time. We will provide you with notice of material changes at least thirty (30) days in advance via email or through a notice posted on our website. Your continued participation in the Subscription Program after such notice constitutes acceptance of the modified terms. If you do not agree to the modified terms, you may cancel your subscription in accordance with Section 5 above.

9. Termination by Us.

We reserve the right, at our discretion, to suspend or terminate your participation in the Subscription Program at any time for any reason, including but not limited to:

· Violation of the Terms of Sale

· Fraudulent or unauthorized use of payment methods

· Abuse of the Subscription Program

· Discontinuation of the Subscription Program

In the event of termination by us, you will receive notice and will not be charged for any future renewals.

If we terminate after you have been charged but prior to our shipment of the order for which you have been charged, your subscription will be canceled and we will give you a refund of the applicable price for that shipment. However, we will not give any refund for termination related to conduct that we determine, in our discretion, violates these Subscription Terms or any applicable law, or involves fraud or misuse of the Subscription Program. Our failure to insist upon or enforce your strict compliance with these Subscription Terms will not constitute a waiver of any of our rights.

10. Other Limitations.

Your participation in the Subscription Program is personal to you, and you may not transfer, assign, or resell your subscription or any of the benefits or rewards associated with such subscription to any third party without our authorization.

We reserve the right to not ship you a subscription shipment for one or more renewal periods. We won't charge you for any skipped shipments.
